Announcement PDF RNS Number : 6572W Rome Resources PLC 29 September 2026 29 September 2026 Rome Resources plc ("Rome Resources" or the "Company") Direct Subscription for Shares Rome Resources plc (AIM: RMR), the DRC focused critical minerals explorer, announces that it has conditionally raised approximately £787,500 (before expenses) by way of a direct subscription (the "Subscription") with existing shareholders of the Company for a total of 450,000,000 new ordinary shares of 0.1 pence each in the Company ("Ordinary Shares") at a price of 0.175 pence per new Ordinary Share (the "Issue Price"). The Issue Price represents a discount of approximately 16 per cent. to the closing bid price on 28 September 2026. The net proceeds will be used to fund preparatory work for the Company's next drilling campaign at its Bisie North Project in the DRC, as well as for general working capital purposes. The Company also continues to engage with potential strategic partners in relation to further developing both its Kalayi and Mont Agoma Projects. Admission and Total Voting Rights The Subscription shares will be issued as fully paid and will rank pari passu in all respects with the existing Ordinary Shares of the Company. Application will be made to the London Stock Exchange for the 450,000,000 Subscription shares to be admitted to trading on AIM ("Admission"). It is currently anticipated that the new Ordinary Shares will commence trading on AIM at 8:00 a.m. on or around 5 October 2026. Following Admission, the Company's issued share capital will comprise 8,126,625,932 Ordinary Shares. Upon Admission this number will represent the total voting rights in the Company and, following Admission, may be used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules. Paul Barrett, Chief Executive Officer of Rome Resources, commented: "We remain highly mindful of dilution, particularly given the significant discount at which we believe Rome Resources currently trades relative to the value implied by its recently updated Mineral Resource Estimate. Against this backdrop, and following consultation with existing shareholders, we have sought to raise only the minimum capital we believe is necessary to maintain operational momentum in the DRC while we advance ongoing discussions with potential strategic partners. We are thankful to the support and commitment by the existing shareholders, demonstrating belief in the project and future potential. We look forward to updating shareholders on progress in due course." **ENDS** We encourage all investors to share questions on this announcement via our investor hub: https://romeresources.com/link/Pb694P Rome Resources Plc Paul Barrett, Chief Executive Officer Tel. +44 (0)20 3143 6748 CREST Corporate Broking (Joint Broker) Jerry Keen (Partner) Tel. +44 (0)20 3973 3678 SP Angel Corporate Finance LLP (Nominated Advisor and Joint Broker) Ewan Leggat Jen Clarke Devik Mehta Tel. +44 (0)20 3470 0470 Financial PR Kelsey Traynor Tel. +44 (0)7495 470 187 CREST Corporate Broking is a trading name of CAL Investments Limited, which is Authorised and Regulated by the Financial Conduct Authority (FRN: 114008).
